20. Правила на поведение:


20.1.Употребата на алкохол и всякакъв друг вид упойващи вещества на контролираните от “Асарел-Медет” АД територии е абсолютно забранена.

20.2.Всички злополуки, инциденти, наранявания, оказана първа помощ, материални повреди, трябва незабавно да бъдат докладвани в отдел „БЗР” на Възложителя.

20.3.Задълженията и отговорностите на Изпълнителят, “Асарел-Медет” и засегнати страни са упоменати в Закона за здравословни и безопасни условия на труд.

21.Ред и чистота:


21.1.Винаги и по всяко време Изпълнителите са длъжни да подреждат всички материали и резервни части и почистват от отпадъци работната площадка, незабавно след работа.

21.2. Забранено е храненето на работните места. Това може да става само в помещения, отговарящи на санитарните изисквания.

21.3. Забранено е пиенето на вода от неконтролирани водоизточници.

Всички описани изисквания се отнасят и за подизпълнителите на фирмата-изпълнител. Изпълнителят автоматично ще бъде третиран като координатор в случай на ползване на подизпълнители. При наемане на подизпълнители Изпълнителят се задължава да предостави настоящото Приложение към Договора с „Асарел-Медет” АД за сведение и изпълнение от подизпълнителите.

ІІ.2. Екологични изисквания
Контрагентите, извършващи дейности в териториите, контролирани от “Асарел-Медет” АД са длъжни да спазват следните правила:

1.На входа на предприятието задължително се проверяват всички превозни средства от дежурния на КПП, водещия договора или негов подчинен. При конститиране на течове или разлив/разсипване на материали, същите се допускат на територията на дружеството само след отстраняване на несъответствието.

2.Забранява се замърсяването и изхвърлянето на каквито и да са материали или отпадъци в териториите, контролирани от “Асарел-Медет”-АД, освен на специално обозначените за целта места.

3.При необходимост от извършване на ремонт на превозни средства и/или други машини, същият се извършва само на определеното място на територията на дружеството – ЦРБ, на одобрени от ръководството места за ремонтни бази на съответния партньор, или извън територията на дружеството.

4. При извършване на строителни и ремонтни дейности на територията на дружеството, ежедневно и след приключване на работа да се почиства района от всякакви отпадъци.

5.Генерираните от ремонтна дейност отпадъци/отработени масла, филтри и др. консумативи, омаслени трици и други отпадъци/ се събират разделно в определените за целта и надписани контейнери/варели в цех АРЦ или се изнасят извън територията на дружеството.

6.При аварийно изтичане на ГСМ или разлив/разсипване на материали, незабавно се уведомява отдел ”Екология” на “Асарел-Медет” АД – тел.254 или GSM 0887800071 и Фирмена сигурност” – дежурен полицай тел.285, и се предприемат незабавни мерки за ограничаване и отстраняване на въздействието върху околната среда.

7.След натоварване на автомобилите, извозващи концентрат, кошовете на същите се покриват с покривала, с цел предотвратяване на разпиляване на концентрата при движение.

8.Отдел “Екология” на “Асарел-Медет” АД провежда текущи внезапни проверки и проверки по подадени сигнали за спазването на екологичните изисквания. Протоколите, съставени от отдел “Екология” за констатирани несъответствия са задължителни за страните по договорите.

9.В случай на констатирани несъответствия или неспазване на екологичните изисквания, контрагентите, извършващи съответната дейност, поемат всички разходи по предприети действия за ограничаване и премахване на въздействието върху околната среда. Разходите се удържат от дължимото възнаграждение за извършената работа, а ако тази сума не е достатъчна, разликата се доплаща по сметка на „Асарел-Медет”АД в 3-дневен срок от писменото уведомяване за дължимостта й.


ІІ.3. Фирмена сигурност

  1. Влизането и напускането на териториите, контролирани от “Асарел-Медет”-АД става само през регламентираните КПП след издаване на съответни пропуски по реда РИ-ИСУ “Оганизация на пропусквателния режим в “Асарел-Медет”-АД и издаването на пропуски” –Приложение към настоящите Общи условия.

  2. Всички превозни средства и лица, навлизащи, преминаващи или напускащи територията на дружеството, подлежат на проверка от дежурния на КПП съгласно изискванията на работната инструкция, посочена в т.1.

  3. Всички, които изнасят и внасят СМЦ от и в района на дружеството, са длъжни да ги декларират на съответното КПП, като посочват техния вид и количество, както и техния произход и собственост, чрез представянето на съответен декумент съгласно изискванията на работната инструкция, посочена в т.1.

  4. Не се допуска отклоняване от маршрутите на движение и от обектите, свързани с дейността на контрагентите по договора, както и посещения на производствени и административни обекти и др. помещения, които не са пряко свързани с извършваната от тях дейност.

  5. Отдел “Фирмена сигурност” извършва периодични проверки на охраняваната територия на дружеството и ведомствените пътища и проверки по сигнал за спазване на установените правила и опазване имуществото на дружеството и обособените му фирми от посегателства. Констативните протоколи на отдел ”ФС” са задължителни за фирмите, работещи по договори, извършващи дейности на територията на “Асарел-Медет” АД.

  6. При установяване на посегателства над имущество на “Асарел-Медет”-АД и обособените му фирми, както и създаването на условия и предпоставки за такива, на нарушителите се търси съответна отговорност и им се отнема правото да посещават територията на дружеството, като същите дължат обезщетение в пълен размер за причинените на дружеството вреди. Данните за извършените нарушения се предоставят на органите на МВР и Прокуратурата.

  7. При оставяне на имущество без надзор след работно време, в празнични и почивни дни, както и при аварийни ситуации, стихиини бедствия и извършени правонарушения, следва да се уведомяват своевременно служителите от отдел “Фирмена сигурност” на тел.478 и тел.285 и GSM 0887 800076.

Всяко физическо лице, действащо в качеството на работник или представител на външен партньор на “Асарел-Медет” АД, пребиваващ на територията на дружеството, е длъжен да спазва строга конфиденциалност по отношение на всяка информация, станала му известна при и по повод изпълнение на неговите задължения по съответния договор с “Асарел-Медет”-АД. За неспазване на това изискване виновното лице носи отговорност съгласно предвидения в закона ред.
ІІІ. Назначаване на работници/ служители към фирми, изпълняващи дейности на територията на “Асарел-Медет”АД
1.Фирмите /дружествата/, допускани да извършват дейности на територията на “Асарел-Медет”-АД, набират личния си състав от живущи в община Панагюрище чрез предварително съгласуване с ръководството на „Асарел-Медет” АД.

За целта Контрагентът представя списъци с длъжностите и професиите, които са необходими за заемане и квалификационните изисквания за тях непосредствено след подписването на договора или текущо при възникване на необходимост. В тях се определят сроковете и етапите за назначаването на подходящия персонал.

2. Контрагентът представя в Дирекция “ЧР” на “Асарел-Медет” АД молби за работа в съответните дружества с приложена автобиография и копие от документи за правоспособност. Молбите са адресирани до съответния ръководител на фирма, за чиито работни места се кандидатства.

3. Кандидатурите се разглеждат в едноседмичен срок в дирекцията съвместно с представители на фирмите и съвета за социално сътрудничество на “Асарел-Медет”-АД, като предварително се проучват по следните критерии:



  • Работил ли е кандидата в “Асарел-Медет”-АД и ако е така, какви са причините за напускане;

  • Възможност за устройване с предимство на работещи в дружеството, предвиждани за освобождаване в следствие съкращаване на щата;

4. След като се направи подбор, на следващия ден списъкът с одобрените кандидати се представя на Директор „ЧР” на “Асарел-Медет”-АД за утвърждаване, и едва тогава съответните ръководители на фирми пускат заповеди за назначаване.

5. Изключение от гореописаните правила се прави само за професии, за които не могат да се намерят специалисти в общината.

6. При избор на подизпълнител/ доставчик дружествата, допускани да извършват с договор дейности/ доставки на територията на “Асарел-Медет”-АД, дават право на пръв отказ на фирми, със седалище и дейност на територията на Община Панагюрище.

7. Правилата на Раздел ІІІ. от тези Общи условия важат и за подизпълнителите по сключени с „Асарел-Медет”АД договори


Настоящите общи условия са неразделна част от договорите, сключвани от „Асарел-Медет”АД с външни партньори, като при противоречие между клауза в договора и регламент в общите условия, предимство има текстът на договора.

GENERAL TERMS


to contracts concluded by „Asarel-Medet” JSC with external partners
These General terms /GT/ have been developed based on internal company documents of “Asarel-Medet” JSC and in accordance with the integrated management system for quality, environment and health and safety at work (IMS), which covers the requirements stated in ISO 9001:2008 – System for quality management, ISO 14001:2004  - Environmental management system and OHSAS 18001:2007 – Management system for health and safety at work - Requirements.

І. General requirements according to the Company’s Work instructions for the supply of goods/services.

1. These Terms settle the rules for the execution of contracts for the supply of goods/ services to „Asarel-Medet” JSC based on the principles of transparent, objective and well organized supplier selection process.

2. Draft contracts, based on the company requirements of„Asarel-Medet” JSC, which are integral part of these General terms, are sent to the selected contractors, suppliers of goods/services.

3. When an annex to a contract is required, it is signed by the authorized persons who have signed the main contract.


4. Integral part of the contracts are the attached applications that are signed by the authorized persons who have signed the main contract.

5. Delivery and acceptance of any goods in accordance with their type, quality and quantity is performed after signing a delivery-acceptance protocol by authorized representatives of both parties on a balance / production site / warehouse of the Buyer. Protocol is an integral part of the contract. In an enclosure to the contract, both parties select the persons who will be authorized to deliver and receive the goods or services.

- If at the moment of acceptance a delivered good is found to have defects or its type, quality and/or quantity differs from the requested one, the Buyer has the right to refuse to unload it and should immediately inform the Seller and send it back.
- If the Seller is allowed by the “Incoming control” of the Buyer to unload the goods and these goods are not reclaimed within 3 working days after signing a delivery-acceptance protocol in a written form, the goods are considered accepted and approved except for hidden defects.

6. Claims for visible defects of the product (service) are made at the time of delivery acceptance under the following general requirements for production claims:


- When hidden defects within the warranty period specified in the contract are detected, the Buyer (Assignor) should notify the Seller (Contractor) within 48 hours by fax or E-mail. The fax must contain data about the date of delivery, name of the product (service type), name and description of the defect, and other specific information regarding the certain case and contract.
- Within 2 (two) working days from the receipt of the claim letter, the Seller (Contractor) is obliged to commission an authorized person who must perform a site inspection on the claimed defects and draw up a bilateral claim protocol which needs to be signed by both parties.
In case when drawing up the claim protocol both parties do not agree on the findings of type, cause and/or cost of the claimed defect, they are obliged to indicate in the protocol a requirement for application to the independent quality agency “Bulgarcontrola”. The act of “Bulgarcontrola” is based on the claim protocol. The presence of authorized persons by both parties is obligatory.

- The Seller (Contractor) is required to settle the claim аs approved within 30 working days from the date of signing the bilateral claim protocol or the date of issue of the Act from “Bulgarcontrola”.


- All claim procedure costs are paid by the defaulting party, whose behavior caused the claim correspondence.

7. Technical literature and assistance


- Together with the delivery of the equipment, the Seller sends also the necessary technical literature with the information for its assembly and correct exploitation. All technical literature has two copies in Bulgarian. When the delivery comes from a foreign country, two copies in English are also necessary.

- At the expenses of the Seller a specialist who must supervise the assembly and the commissioning of the equipment. The Buyer is responsible for the quality of the equipment assembly.


- At the expenses of the Seller a specialist for the time after the assembly is commissioned. He must perform all the necessary inspection on the equipment during the warranty period.
- The Seller shall pay all costs connected with the accomplishment of his obligations.
8. Force majeure cases

Force majeure cases are considered to be situations which occurred beyond the reasonable control of the parties and which could not be foreseen or stopped, including, but not limited to: earthquakes, fires, floods, epidemics, war conflicts, civil unrests, as well as prohibitions, restrictions, regulations and others. These are ones which have been imposed by regulations of state and regional agencies. There is no force majeure if the respective situation is due to negligent care by a contractual party and could have been overcome. Force majeure cases delay the agreed period of delivery of the product (service) depending on their duration. The party, which bases its argument for delay on the force majeure, is required within 3 working days to notify the other party in a written form and prove the existence of the event with a certificate issued by the respective Chamber of Commerce. If there is no written notice, the party that hasn’t accomplished its obligations shall be held responsible for losses. .


In a case when the contract is delayed by more than 3 months and the two contracting parties cannot agree on further contract execution, the Buyer (Assignor) has the right to terminate the future performance of the contract and the Seller (Contractor) will return immediately and without any legal formalities all received payments to the Buyer (Assignor).

9. Contracting parties should address all the messages and notifications to each other only in a written form. The written form is considered and respected when sent by fax or other technical means which excludes the possibility of inaccurate reproduction of the statement. For changes in mailing addresses and contact persons, the respective party should send notification in 3 working days to the other one.
10. The contract concluded between the parties may be amended or supplemented with an additionally written and signed agreement.

11. The contract may be terminated on one of the following grounds:

- upon expiry of the contract;

- if the execution of the main subject of the contract has become impossible;

- by mutual agreement;

- in case of serious breach of contract (failure leading to inability to achieve the negotiated contractual results) the right party to write to the other one and to offer secession of the breach and its effects in sufficient time for implementation, the after effect would be unilateral termination of the contract by the defaulting party;

- with one month notice by the Buyer (Principal);
- on other grounds, explicitly stated in the contract;

12. The correspondence between the parties regarding the execution of the contract shall be presented primarily in an electronic form (eg. E-mail, magnetic media means), including the cases where the information is presented on paper (e.g.: Projects, reports on performed activities, statements, claim receipts, information on Art. 15 below and other).

13. Disputes, arising from or in connection with the performance of any contract concluded by Bulgarian partners, will be settled in accordance with the Bulgarian legislation. Disputes about the execution of contracts concluded by foreign partners will be settled by a neutral for both parties legislation.

14. All disputes between parties are resolved through negotiations. All agreements are settled in a written form and are an internal part of the contract. If a mutual agreement is not reached, all arising disputable issues shall be settled in the Arbitration court of the Bulgarian Chamber of Commerce or the International Chamber of Commerce in Paris depending on the nationality of the partner.


15. „Asarel-Medet” JSC and the External partners, concluding contracts with the company, take the responsibility to inform immediately, in a written form, the respective contact persons stated in the contract, as well as a representative of the company who signed the contract in case of discovered breach of mutual obligations or negligent and/or fraudulent execution of the contractual obligations by employees from both parties, or exhibit such tendencies. This shall be done in order rapidly eliminate the infringements and omissions which could reflect negatively on the future overall performance of the arrangements between the parties and inflict damage and losses for them.
16. „Asarel-Medet” JSC and External partners, concluding contracts with us, take the responsibility in cases when necessary, workers/ employees from Asarel-Medet JSC to be settled, they shall be provided accommodation owned by the company on preferential prices negotiated for worker/ employees and official guests of Asarel-Medet JSC.

ІІ. Requirements of the implemented in 2003 Integrated Management System in Asarel-Medet JSC, based on the ISO 9001:2008 – Quality Management, ISO 14001:2004 – Environmental Management and OHSAS 18001:2007 – Health Management and Working Conditions



ІІ.1. Health and safety working conditions

These requirements are prepared in accordance with the inter-company documents and Art. 227 from the state Labor Code and art.18 of the Health and Safety Conditions Law.
1. Employees working within the territory of the company are obliged to take care for their safety and the safety of all other persons, engaged with their respective activity.
2. The employees are required to attend work in a position allowing safe and qualitative implementation of their respective obligations.

3. Employees, working within the controlled by “Asarel-Medet” JSC territories are allowed to work only after an initial briefing held by the”SHW” Department, in accordance with Regulation № РД-07-02 from 16.12.2009 on the conditions and procedures for conducting periodic training and provide instruction to the workers about the health and safety working conditions. The „SHW” Departments issues an official note to the instructed workers based on Template № 2of Art. 12, Par. 3 from Regulation № РД-07-2 for the provided training and instruction in two copies, one of which is to be filed by „Company Security” Department in order a pass to be issued and the other one is stored during the duration of the contract by the Technical Director (Coordinator Safety and Health at Work) by the Contractor.


4. Company’s managers, operating at the controlled by the company territories are responsible for conducting of periodic briefings and other types of instructions to their workers. Managers from external companies prepare annual risk assessments of healthy and safety measures during work.
5. The use of appropriate work clothing (having visible and clear labels indicating the company – Contractor) and the use of helmets, gloves, protective goggles, masks and protective boots is obligatory during the work process within the territories, controlled by Asarel-Medet JSC. Depending on the specifics of activities to be executed, when necessary, special PPE /Personal protective Equipment/ shall be used. The necessary personal protective equipment and the special work clothing of the workers on the territory of the Company shall be provided by the Contractor, on its expense, according to the preliminary risk assessment.
6. When transporting concentrates, the vehicles are suited for loading after an alert given by the operator /employee on duty by the” QC&M” Department/.

Only well trained personnel in good healthy conditions shall be allowed to access the territories, controlled by Asarel-Medet JSC. The Contractor and it sub-contractors shall organize on their expense preliminary medical exams, respecting the executed activity and the specific labor conditions. When executing activities, which require on-going control on the healthy conditions of the personnel, the Contractor shall be considered engaged with the execution thereof, and it shall be obliged to conclude an agreement with the authorized medical specialist. In the event of heavy, life-threatening traumas on the work place, the Contractor shall look for the immediate assistance of the medical team, which works on the territory of Asarel-Medet JSC. The emergency calls telephone number is 246.

7. During working hours employees, working on the territory, controlled by „Asarel-Medet” JSC need to wear their certificates for qualification and other valid documents required by the regulations, in order to ensure health and safety working conditions.
8. Companies’ managers, carrying out construction, repair and other activities within the controlled by the Company areas, have to designate a health and safety working conditions coordinator by a written order and inform the „SHW” Department about this.

9. It is not allowed for people to pass below the bunkers used for loading the finished production.

When more that one Contractor company shall work on one working location at the same time with another hired Contractor company, an instruction of the safe mutual execution of the work by and between Contractor companies and Asarel-Medet JSC shall be made and coordinated in advance.

10. It is obligatory to observe and follow all traffic signs and makings within the Company’s territory.

11.The maximum allowable speed of vehicles within the territory of the company is 30 km/per hour.

Permits for execution of different activities (listed as examples, but not thoroughly – in relation to fire works; excavation works; execution of activity on supervision regulations; work in closed vessels; execution of explosive works; mechanical security; cutting of power supply, water supply, steam supply, air supply, gas supply, oil supply, etc., required according to special legal provisions) shall always be available on the working location on the territory Asarel-Medet JSC.

12. In case of executing risky activities and using facilities, technology and substances that may endanger the health and life of the workers or lead to major industrial accidents within the controlled by „Asarel-Medet”JSC territories, the contractor develops a plan which is coordinated with the SHW Department and the workshop Director, the person who currently monitors the execution of the contract.

Working equipment – own or rented by the Contractor company, including electric welding machines; equipment for gas-oxygen cutting and welding; safe lighting; lifting equipment; temporary scaffolding and stairs for repairs; anti-fire and first aid means, used for execution of the activities on the territory of Asarel-Medet JSC – shall be in working order, tested and used for its purpose. Books of inspection of lifting devices shall be checked by the Principal’s SHW Department prior their mobilization on the location of Asarel-Medet JSC. Lifting devices with no deeds of inspection from tests presented shall not be allowed to work. Deeds of inspection from tests shall always be available on the site. Tests shall be made on stairs and projects of scaffoldings – own property and instructions for standard module scaffoldings.



  1. Organization on site:

13.1. The specific rules regarding health and safety during work in Asarel-Medet JSC, presented during the instructions on safety and during the operational meetings, shall be observed by anybody, at all times.

13.2. The use of production installations or parts thereof on the territory of Asarel-Medet JSC with no consent of the SHW Department is prohibited.

13.3. Задължително се спазват всички пътни знаци и маркировки на територията на дружеството /тук е т.10/. The maximum allowable speed of vehicles within the territory of the company is 30 km/per hour and seat belt shall be on.

13.4. When working on heights, people, equipment and used materials shall be protected from falling /net, halters, belts, etc./.

13.5.The Contractors shall clearly mark its working site with appropriate fencing (bars, lines, splits) and to signal it with signs and safety signs. Roads preliminary coordinated with the SHW Department shall be used for transportation of materials and people.

13.6. При извършване на рискови дейности и използване на съоръжения, технологии и вещества, които могат да застрашат здравето и живота на работещите или да доведат до крупни производствени аварии в контролираните от „Асарел- Медет” АД територии, изпълнителят разработва План за предотвратяване и ликвидиране на аварии, който се съгласува от Генерален директор, ресорен директор, ръководителят на цеха /отдела/, осъществяващ текущ контрол по изпълнението на договора, SHW Department и РО „ПБЗН”. /НЕ БЕШЕ В ЧЕРВЕНО И НЕ СЪМ ГО ПРЕВЕЛ!!!/

13.7. Oxygen and gas bottles used by hired Contractors for the execution of activities shall only be used in proper working conditions, secured against falling, with properly working reduction valves and caps. They shall be maintained clean and with no oil on them. The recommended anti-fire distances shall be used from one to another and from other flammable materials. They shall be stored and transported according to the legal provisions. The Contractor shall provide proper fire extinguishing devices during the execution of fire works. During a supply of bottles or tanks for transportation of compressed, liquefied or dissolved under pressure gases, the Contractor shall present the organization created in regards to technical supervision by the licensed persons.

13.8. Hired companies – Contractors – owners or users of equipment of increased danger shall provide their service by personnel of the necessary qualification and capacity. The number of employees is specified in the project of the equipment or by the bodies of technical supervision. The hired company – Contractor – owner or user of equipment of increased danger and the servicing personnel thereof shall not allow exploitation of equipment:

- with a device, which does not comply with the legal requirements;

- which shows damage or incapacity during work;

- which were not technically supervised, according to the requirements of the Law of Technical Requirements to Products and the Regulations in respect to its application.
14.In case of an accident or a life and safety threatening situation within the controlled by the company territory, the “Safety and Health at Work” Department at “Asarel-Medet” JSC – Tel:0357 60375, Health spot emergency– Tel: 0357 60246, „Corporate security” – police officer on duty Tel:0357 60285, Emergency-safety agency and fire emergency – Tel: 0357 60372 should be immediately notified, and their instructions should be followed.
15. ”SHW” Department of “Asarel-Medet” JSC carry out periodic or signal inspections in compliance with the current Terms and Conditions. The observement protocols and respected requirements of the SHW department are obligatory for the contractual parties of the company. Department „SHW” has the right to stop the working process, exclude employees or workers who do not possess the required qualification, protective clothing and who endanger their personal safety and health as well as the ones of persons around them.

16. Upon finding any damages due to breach of the requirements stated above, the contractors engaged in activities within the controlled by “Asarel-Medet” JSC territory are obliged to cover the full amount of the caused damage. In finding non-compliance with the health and safety measures the offenders shall be fined by the”SHW” department and shall be issued an act of infringement. The amount of 50 leva per each case will be withdrawn from the contactor’s remuneration / value of service/ based on the issued act. In cases when an executor worker /specialist/ is allowed to work without being instructed about the health and safety working rules, the fine is 100 leva and every other case is fined by 500 leva.
