2. Възложителят сключва договора в едномесечен срок след влизането в сила на решението за определяне на изпълнител или на определението, с което е допуснато предварително изпълнение на това решение, но не преди изтичане на 14-дневен срок от уведомяването на заинтересованите участници за решението за определяне на изпълнител.
Договорът се сключва във формата и със съдържанието на проекта на договор, приложен в документацията, допълнен с всички предложения от офертата на участника, въз основа на които последният е определен за изпълнител на поръчката. Промени в проекта на договор се допускат по изключение, когато е изпълнено условието по чл. 116, ал. 1, т. 5 от ЗОП и са наложени от обстоятелства, настъпили по време или след провеждане на процедурата.
Когато за изпълнител е определено обединение, участниците в обединението носят солидарна отговорност за изпълнение на договора за обществената поръчка.
3. Договорът за обществената поръчка се сключва при условие, че участникът, определен за изпълнител:
  • представи документ за регистрация в съответствие с изискването по чл. 70 от ППЗОП;

  • изпълни задължението по чл. 67, ал. 6 от ЗОП;

  • представи определената гаранция за изпълнение на договора;

  • представи необходимите документи съгласно изискванията на документацията за участие и Закона за обществените поръчки.

  • представи Нотариално заверени копия или оригинали от застраховки “Професионална отговорност” ,„Трудова злополука”, по чл. 173 от ЗУТ, вкл. декларацията за удължаването им и поддържането им във валидност - на ИЗПЪЛНИТЕЛЯ, подизпълнители и/или съдружници в обединения – където е приложимо.

  • представи Заверени „Вярно с оригинала” валидни документи за вписване в ЦПРС в едно с валиден талон към него - на ИЗПЪЛНИТЕЛЯ, подизпълнител или съдружник в обединение-изпълнител от който се изисква този документ в съответствие с условието на поръчката.



4. Преди сключването на договор за обществена поръчка или на рамково споразумение Възложителят изисква от участника, определен за изпълнител, да предостави актуални документи, удостоверяващи липсата на основанията за отстраняване от процедурата, както и съответствието с поставените критерии за подбор. Документите се представят и за подизпълнителите и третите лица, ако има такива.
5. Възложителят не сключва договор, когато:
  • участникът, класиран на първо място откаже да сключи договор;

  • участникът, класиран на първо място не изпълни някое от условията по горепосочените точки, или

  • участникът, класиран на първо място не докаже, че не са налице основания за отстраняване от процедурата;


В конкретните случаи, Възложителят може да определи за изпълнител участника, класиран на второ място, или да прекрати процедурата. За отказ от сключване на договор се приема и неявяването на уговорената дата, освен ако неявяването е по обективни причини, за което Възложителят е уведомен своевременно.
Ако след получена покана класираният на второ място участник откаже да подпише договора, Възложителят прекратява процедурата.


VIІI. ОБЖАЛВАНЕ

Всяко решение на възложителя в процедурата за възлагане на обществената поръчка подлежи на обжалване относно неговата законосъобразност пред Комисията за защита на конкуренцията. На обжалване подлежи също всяко действие или бездействие на възложителя, с което се възпрепятства достъпът или участието на лица в процедурата. Жалба може да подаде всяко от лицата по чл. 198, от ЗОП в 10 (десет) дневен срок, съгласно чл. 197 от ЗОП. Жалбата се подава на български език едновременно до Комисията за защита на конкуренцията и до възложителя, чието решение, действие или бездействие се обжалва.


ІХ. ОБЩИ УКАЗАНИЯ
1. Сроковете, посочени в тази документация се изчисляват, както следва:
а) когато срокът е посочен в дни, той изтича в края на последния ден на посочения период;
б) когато последният ден от един срок съвпада с официален празник или почивен ден, на който трябва да се извърши конкретно действие, счита се, че срокът изтича в края на първия работен ден, следващ почивния.
Сроковете в документацията са в календарни дни.
Когато срокът е в работни дни, това е изрично указано при посочването на съответния срок.

2. При противоречие в записите на отделните документи от документацията, за валидни да се считат записите в документа с по-висок приоритет, като приоритетите на документите са в следната последователност:
а) Решение за откриване на процедурата;
б) Обявление за обществена поръчка;
в) Техническите спецификации;
г) методиката за определяне на комплексната оценка на офертата, когато е приложимо;
д) образци на документи, както и указание за подготовката им;
е) проект на договор.
Документът с най-висок приоритет е посочен на първо място.
По въпроси, свързани с провеждането на процедурата и подготовката на офертите на участниците и основанията за нейното прекратяване, които не са разгледани в документацията, се прилагат разпоредбите на Закона за обществените поръчки и Правилника за прилагане на Закона за обществените поръчки.


These guidelines lay down general rules for the preparation of the offer and the requirements for participants in an open procedure according to Art. 74 of the Public Procurement Act (PPL).
In accordance with Art. 5 para. 2 of the Public Procurement Low (PPL) the Contracting Authority of this contract is the Executive Director of Enterprise for Management of Environmental Protection Activities (EMEPA).

І. SUBJECT OF THE CONTRACT
Designing with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" under project "Research and development of pilot models for environmentally collection and temporary storage of hazardous domestic waste”, with the following lots:

Lot 1: "Design with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" to build a large pilot municipal center - Shumen."

Lot 2: "Design with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" to build a large pilot municipal center - Razgrad."

Lot 3: "Design with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" to build a small pilot municipal center - Levski".

Lot 4: "Design with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" to build a small pilot municipal center - Saedinenie".

Lot 5: "Design with author’s supervision and execution of construction within the meaning of Art. 3 par. 1 p. 1 letter "b" PPL" to build a small pilot municipal center - Sozopol."
Important! The tenderers in this tender procedure are allowed to submit offers for all lots, but one tenderer can be nominated as contractor/ to sign contract for 1 (one) Lot only.

A tenderer who was ranked on first place for two or more lots shall be nominated for contractor to that which is with small serial number.
For instance:
Tenderer who was ranked on first place in Lot 4 and Lot 5 will be selected for contractor solely for lot 4!



  1. Criterion for evaluation of the offer:

The ranking of the offers will be based on a comprehensive evaluation of tenders, according enclosed in this documentation Methodology and the chosen criterion is the most economically advantageous tender (Art. 70, para. 4 pt. 2 in connection with art. 70 par. 2 ie. 3 PPL).


  1. Place and duration of execution




    1. The place of performance of each of the lots is as follows:




  • For Lot 1: municipality Shumen

  • For Lot 2: municipality Razgrad

  • For Lot 3: municipality Levski

  • For Lot 4: municipality Saedinenie

  • For Lot 5: municipality Sozopol




    1. The deadline for implementation of each of the lots is as follows:




      1. For Lot 1:

  • Design - The minimum time for preparation and submission of the detailed design is sixty (60) calendar days. The maximum term is 120 (one hundred and twenty) calendar days

  • Author’s supervision - during the execution of construction works until the date of signing and issuing the Certificate of establishing the acceptability of the building (Annex № 15 - Act № 15)

  • Construction - The minimum period for implementation of construction works is 180 (one hundred and eighty) calendar days. The maximum period is 360 (three hundred sixty) calendar days.



      1. For Lot 2:

  • Design - The minimum time for preparation and submission of the detailed design is sixty (60) calendar days. The maximum term of 120 (one hundred and twenty) calendar days.

  • Author’s supervision - during the execution of construction works until the date of signing and issuing the Certificate of establishing the acceptability of the building (Annex № 15 - Act № 15).




  • Construction - The minimum period for implementation of construction works is 180 (one hundred and eighty) calendar days. The maximum period is 360 (three hundred sixty) calendar days.




      1. For Lot 3:

  • Design - The minimum time for preparation and submission of the detailed design is sixty (60) calendar days. The maximum term of 120 (one hundred and twenty) calendar days.

  • Author’s supervision - during the execution of construction works until the date of signing and issuing the Certificate of establishing the acceptability of the building (Annex № 15 - Act № 15).

      1. For Lot 4:

      1. For Lot 5:

  • Design - The minimum time for preparation and submission of the detailed design is sixty (60) calendar days. The maximum term of 120 (one hundred and twenty) calendar days.

  • Author’s supervision - during the execution of construction works until the date of signing and issuing the Certificate of establishing the acceptability of the building (Annex № 15 - Act № 15).

  • Construction - The minimum period for implementation of construction works is 180 (one hundred and eighty) calendar days. The maximum period is 360 (three hundred sixty) calendar days.

The full implementation period for this Lot is not later than 31st of December 2018.

The period for preparation of the detailed design starts after signing of the contract for this lot and after the receiving from the CONTRACTOR of a letter of assignment by the Contracting authority to start preparing the works design.
The preparation and approval of the comprehensive report under Art. 142, para. 4 SPL, the subsequent coordination of the detailed design with the operating companies and the relevant authorities and the issuance of a building permit will be realized within no more than 90 (ninety) calendar days after the elaboration of the detailed design. Comprehensive report is subject to separate award by conducting a procedure under the PPL.

The implementation of the works activities and exercising author’s supervision, leads its beginning from the date of issue of the Protocol on the opening of the construction site (Template2/2a). The end will be after the compliance of the construction with signing and issuing the Certificate for establishment of the acceptability of the works (Act № 15), according to Art. 7, para. 3 pt. 15 of Decree № 3 of 31 July 2003


The Contracting Authority will send to the Contractor of this lot an Authorization letter for enforceable building permit and start preparing for the opening of the construction site with Protocol - Template 2/2a. The letter of assignment will play the role of 30 (thirty) days notice to the Contractor, based on which he must be ready for opening a construction site not later than 30 / thirty / from the date of receipt of the letter of assignment.


  1. Term of validity of the offer

The term of validity of tenders must not be less than 180 (one hundred and eighty) calendar days, or six (6) calendar months / 1 month = 30 calendar days / from the date specified as the deadline for receipt of tenders ;

In case that during the conduct of the tender procedure for selecting of a Contractor the validity of the offer for the respective lot expire, the Contracting Authority will invite the participant to extend the validity period until the time of conclusion of the contract with the selected Contractor. The participant will be rejected from the procedure for the award of this contract, if after the invitation and the deadline established refuse to extend the validity of the offer or submit an offer with a shorter period of validity.




  1. Estimated value:




    1. The estimated value of this contract is 3 207 689.00  лв. BGN (Tree millions two hundred and seven thousand six hundred eighty nineBGN) without VAT, allocated per lots as follows:

4.1.1. For Lot 1:

  • Design – 44 050.00 BGN without VAT;

  • Supervision – 30 833.00 BGN without VAT;

  • Construction –743 750.00 BGN without VAT;

4.1.2. For Lot 2:



  • Design – 42 107.00 BGN without VAT;

  • Supervision – 29 918.00 BGN without VAT;

  • Construction –743 750.00 BGN without VAT;

4.1.3. For Lot 3:



  • Design – 26 920.00 BGN without VAT;

  • Supervision – 19 382.00 BGN without VAT;

  • Construction - 478 125.00 BGN without VAT;

4.1.4. For Lot 4:



  • Design – 26 920.00 BGN without VAT;

  • Supervision – 19 382.00 BGN without VAT;

  • Construction - 478 125.00 BGN without VAT;

4.1.5. For Lot 5:



  • Design – 26 920.00 BGN without VAT;

  • Supervision – 19 382.00 BGN without VAT;

  • Construction - 478 125.00 BGN without VAT;

The offers of the participants shall not exceed the estimated value of this contract, respectively the Lot and individual components in it. The price includes all costs related to quality performance of the contract described in type and scope in the technical specification. If the offers price is higher than the estimated value the participant will be rejected from participation in the procedure.




  1. Costs for offers development

The cost of developing and submitting tenders are borne by the participants in the open procedure. Participants can not have claims made by themselves cost for preparing and submitting their bids, including the exclusion.

ІІ PARTICIPATION IN THE PROCEDURE


  1. In accordance with Art. 10, para. 1 of PPL participant in this procedure for procurement can be any Bulgarian or foreign individual or legal entity and their associations, and any other entity entitled to perform the services covered by the contract under the legislation of the State in which it is established.

According to Art. 101, para. 11 of PPL affiliates can not be independent participants in the procedure for procurement, including as participants in consortiums.


According to Art. 36, para. 1 of the Implementing Regulations of the Public Procurement Act (IRPPL) branch of a foreign person may be an independent participant in the procedure for awarding the contract if individually may submit requests to participate or for tenders and contracts under the legislation of the State it is established. In this case, if to demonstrate compliance with the requirements of economic and financial standing, technical and professional abilities the branch relies on the resources of the company, the branch presents evidence that when the implementation of the contract starts it will have these resources available.

1.1. Except in the cases provided for in the Public Procurement Low, also in accordance with Art. 110, para. 1, p. 8 and. 9 – The tenderers should be aware that in the event of circumstances under which eliminate the need of implementation of tender procedure on a particular lot, due to changes in its subject or due to drop out the need to award the contract in certain lot, in result of a substantial change in circumstances the tender procedure will be terminated only on the relevant lot. This Lot will be awarded later, after clarifying the factual situation, under the order provided for in Art. 21, para. 6 of the Public Procurement Low or in the order in which it is held the procedure, when art. 21, para. 6 appears to be unworkable.


1.2. In accordance with Art. 118, para. 1 of PPL – The Contracting Authority will terminate the contract on a particular lot when needed substantial modification of the contract, which does not allow the contract to be amended pursuant to Art. 116, para. 1. In this case, after clarifying the factual situation, the Lot will be awarded under the terms provided for in Art. 21, para. 6 of the Public Procurement Low or in the order in which it is held the tender, when art. 21, para. 6 appears to be unworkable.

In accordance with Art. 118, para. 1, the action of the contract will be terminated in cases where, for reasons beyond Contracting Authority (e.g. the absence of a final decision of the municipal council for designation of a site to build a pilot center and/or lack of a contract for the right of construction in the property designated for the construction of a pilot center and/or other reasons) will be appointed a new property/site intended for construction of a pilot center within the municipality and/or will be chosen a new property/site for the construction of the pilot center in another municipality.


  1. Requirements to the consortiums:

In the procedure for awarding the contract may be involved consortiums of individuals and/or legal persons irrespective of their legal form or status. According to Art. 10, para. 3 PPL participant can not be removed from the procedure for procurement on the basis of its status or its legal form when he or members of the consortium have the right to carry out the job.
The Contracting Authority does not set and there is no requirement to establish a legal entity in case that the selected Contractor is a consortium of individuals and / or legal entities.
If the tenderer is a consortium, it must present a contract or other equivalent document (original or certified copy) from which it is apparent the legal basis for creation of the consortium and the fulfillment of the following requirements:

  • be certain one of the partners (members) to represent the union for public order and who is authorized to undertake, receive payments and instructions for and on behalf of every member of the consortium;

  • be agreed jointliability between the partners in the consortium for implementation of the contract;

  • be described the rights and obligations of participants (members) in the consortium;

  • be distributed responsibilities for execution of the contract between the members (partners) of the consortium;

  • to describe the activities that will fulfill every member of the consortium;

  • to include a provision that all members of the consortium are obliged to remain in it throughout the period of performance of the contract;

  • is reflected that other partners can not be accepted in the consortium during the contract implementation;

  • is indicated the name of the consortium;

If the consortium has been selected as a Contractor for the contract and the same is not a legal person so after signing a contract it must be registered compulsorily in BULSTAT Register to the Registry Agency, to open a bank account of unification and to make a separate accounting. Payments on public contracts will be made to the bank account of the consortium.

According to Art. 101, para. 10 PPL in the procedure for procurement a natural or legal person can only participate in the consortium.
Natural or legal person involved in a consortium whether as a participant or as a subcontractor to a specific participant or third party under PPL in the offer of any tenderer on a particular lot has not right to participate in other consortium or as a subcontractor to another participant or third party under PPL in the tender of another participant under the same lot and in other lots or just generally in the contract.

According to Art. 101, para. 9 from PPL person involved in consortium or consented and appear as a subContractor to another participant may not submit its own bid.

When the composition of the consortium changed after submitting the offer - the participant will be removed from the procedure for the award of this contract.

If the selected Executor is an association of natural and / or legal entities, the public procurement contract shall be awarded after the Executor submits to the Contracting Authority certified copy of the certificate of tax registration and registration or equivalent documents under the legislation of the country in which the consortium is established.


According to Art. 59 para. 6 PPL when the participants are consortiums that are not legal entities, the compliance with selection criteria is evidenced by consortium as a whole and not from any of the persons included in it, except the relevant registration, presentation of a certificate or other condition necessary to perform the contract as required by a statutory or administrative act and regarding the allocation of the participation of individuals in the performance of activities, provided for in the Contract for establishing the consortium.




  1. Requirements to Subcontractors:

With its tender the participants can offer with no limitations the use of subcontractors.

In accordance with Art. 174, paragraph 4 of PPL, when a participant is determined to offer one or more subcontractors, which will subcontract it:



  • stated in the offer proposed subContractors, the type of work which will perform, and the proportion of their participation;

  • presented documents that prove compliance with the selection of each of them according to the type and proportion of their involvement;

  • notify the Contracting Authority of any change of subcontractors occurred during the execution of the contract.


4. Personal situation of participants:

In accordance with Art. 54, paragraph 1, item. 1 -7 of the PPL, the Contracting Authority rejects from the tender procedure each participant to whom any of the following circumstances are available:

4.1. Person under Art. 54, para. 2 PPL is convicted by an effective sentence, unless rehabilitated for an offense under Art. 108a art. 159a - 159g, art. 172, art. 192a art. 194-217, Art. 219-252, Art. 253-260, Art. 301-307, Art. 321, 321a and Art. 352 - 353e of the Criminal Code or similar crime in another EU Member State or third country (Art. 54, para. 1, p. 1 and. 2 PPL);

4.2. The tenderer or member of the consortium has obligations for taxes and obligatory insurance contributions within the meaning of Art. 162, para 2, item 1 of the Tax Procedure Code and the interest thereon, to the state or municipality where the seat of the Contracting Authority and the Participant or similar obligations established by an act of the competent authority under the legislation of the State participant is established, unless rescheduling, postponement or security duties or obligation is an act that has not entered into force (Art. 54, para. 1, p. 3 PPL


4.3. Inequality in cases of art. 44, para. 5 of the Public Procurement Low(Art. 54, para. 1, p. 4 of the Public Procurement Low);
4.4. Participant: (i) submitted a document containing false information related to authentication of lack of grounds for rejection or execution of the selection criteria and / or (ii) did not provide required information related to authentication of lack of grounds for rejection or execution of selection criteria (Art. 54, para. 1, p. 5 of the PPL).

4.5. For participant is found with effective penal decree or judgment that in the conduct of public contract violated Art. 118, art. 128, art. 245 and Art. 301-305 of the Labour Code or similar obligations established by an act of the competent authority under the law of the country in which the bidder is established (art. 54, para. 1, p. 6 of the PPL).


4.6. In respect of a person under Art. 54, para. 2 PPL there is a conflict of interest referred to in paragraph 2 pt. 21 of the Additional Provisions to PPL, which cannot be removed (Art. 54, para. 1, p. 7).
4.7. In accordance with Art. 57, para. 1 of the PPL, the Contracting Authority eliminated from the process each participant to whom the grounds under Art. 54, para 1 and Art. 55, para. 1 arose before or during the procedure. According to Art. 46, para. 1 IRPPL participants are required to notify the Contracting Authority within 3 days of the occurrence of a circumstance under Art. 54, para. 1, Art. 101, para. 11 PPL or indicated by the Principal ground of art. 55, para. 1 of PPL. In these cases, the developer notice of the Chairman of the Committee on Art. 103, para. 1 PPL, and when the documents under Art. 106, para. 1 PPL (Commission report) received by the Contracting Authority, he returned to the commission report with instructions to reflect new circumstances.

When a participant in the procedure is an association of individuals and / or entities and a member of the union is one of the grounds for removal under Art. 54, para 1 and Art. 55, para. 1 of the PPL, the Contracting Authority removed from all participating union.

The grounds for removal under Art. 54, para 1 and Art. 55, para. 1 shall apply until the end of the following periods:
